Terms and conditions.

1. Acceptance of terms

You accept these terms by using this website, signing a statement of work, or paying an invoice. Detailed scope for any engagement lives in its individual statement of work, which controls if it conflicts with these terms.

2. Services

We provide AI engineering and automation services, including discovery audits, custom builds, and ongoing retainers. We also build and operate AI-powered messaging systems (phone, SMS, and social direct messages) on behalf of client businesses.

3. Automated messaging and SMS (TCPA)

By initiating contact with a business through a messaging channel operated by JP Works (including SMS, Instagram Direct Message, or other messaging platforms), you consent to receive automated messages from that business in response to your inquiry.

You may opt out of automated SMS messages at any time by replying STOP to any text message. You will receive one final confirmation message and will not receive further messages. Message and data rates may apply. See our Privacy Policy for how messaging data is handled.

4. Intellectual property

On full payment, you own the deliverables we build specifically for you. We retain ownership of our general methods, tooling, and pre-existing materials, and may reuse non-confidential, generic techniques across engagements.

5. Payment terms

Project engagements are billed with a deposit on signature and milestone payments thereafter. Retainer engagements are billed monthly in advance. Invoices are due within seven days of issue unless otherwise agreed in writing.

6. Refunds and cancellation

If a client cancels before work has begun, any deposit paid will be refunded in full. Once work has started, deposits and milestone payments covering completed work are non-refundable.

Retainers may be cancelled at any time with 30 days’ written notice. The current billing month is non-refundable. Approved refunds are processed to the original payment method within 10 business days.

7. Confidentiality

Each party protects the other’s confidential information and uses it only to perform under the engagement. A separate non-disclosure agreement, where signed, governs in addition to this section.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the services is limited to the fees paid for the engagement giving rise to the claim in the 12 months before the claim. We are not liable for indirect or consequential damages.

9. Governing law

These terms are governed by the laws of the State of California. Any dispute arising out of or related to these terms or our services will be resolved in the state or federal courts located in California.
